EXCEL ADD-IN TERMS AND CONDITIONS
Welcome to Minty Tools for Excel add-in for Microsoft Excel (the “Add-in”). By accessing or using the Add-in, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Add-in.
ACCEPTANCE OF TERMS
By using the Add-in, you confirm that you have read, understood, and agreed to these Terms.
COPYRIGHT INFORMATION
The Add-in is owned and operated by Minty Analyst EOOD, and all content and materials, including but not limited to text, graphics, images, and software, are protected by copyright and other intellectual property laws. All rights reserved.
THIRD-PARTY LICENSES
This Add-in includes icons and graphics that are licensed from third-party sources, including but not limited to FlatIcon (https://www.flaticon.com). These icons are used under the terms of the FlatIcon license agreement. Minty Analyst EOOD acknowledges the intellectual property rights of the respective creators of these icons. For more information on the specific licenses and attributions required for these icons, please visit the FlatIcon website.
INTELLECTUAL PROPERTY
You acknowledge and agree that all rights, title, and interest in and to the Add-in, including all intellectual property rights, are and shall remain the exclusive property of Minty Analyst EOOD. You agree not to remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) that may be affixed to or contained within the Add-in.
LICENSE GRANT AND USE RESTRICTIONS
Subject to your compliance with these Terms, Minty Analyst EOOD grants you a limited, non-exclusive, non-transferable, revocable license to use the Add-in solely for your personal or internal business purposes. You agree not to:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Add-in.
- Reverse engineer, decompile, or disassemble the Add-in, except to the extent expressly permitted by applicable law.
TERMINATION CLAUSE
Minty Analyst EOOD reserves the right to terminate your access to the Add-in at any time, for any reason or no reason, with or without notice.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions. Any legal actions, suits, or proceedings arising out of or relating to this Agreement shall be brought exclusively in the courts located in Bulgaria. By using the Add-in you irrevocably submit to the exclusive jurisdiction of such courts for the purpose of any such action, suit, or proceeding and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
LINKS TO OTHER WEBSITES DISCLAIMER
The Add-in may contain links to third-party websites or resources. You acknowledge and agree that Minty Analyst EOOD is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Minty Analyst EOOD of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
CONTENT CLAUSE
You acknowledge and agree that Minty Analyst EOOD is not responsible for any content or materials provided by you or any third party through the Add-in. You retain ownership of any intellectual property rights that you hold in that content. By uploading, submitting, storing, or transmitting content through the Add-in, you grant Minty Analyst EOOD a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, modify, publish, and distribute such content for the purpose of operating, promoting, and improving the Add-in.
ALLOWED AND/OR PROHIBITED USES CLAUSE
You are authorized to use the Add-in only for lawful purposes and in accordance with these Terms. You agree not to use the Add-in: (i) in any way that violates any applicable federal, state, local, or international law or regulation; (ii) for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise; (iii) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; (iv) to impersonate or attempt to impersonate Minty Analyst EOOD, a Minty Analyst EOOD employee, another user, or any other person or entity; (v) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Add-in, or which, as determined by Minty Analyst EOOD, may harm Minty Analyst EOOD or users of the Add-in or expose them to liability.
DISCLAIMERS AND WARRANTIES
You acknowledge and agree that the Add-in is provided on an “as is” and “as available” basis. Minty Analyst EOOD makes no representations or warranties of any kind, express or implied, as to the operation of the software. We do not guarantee that the software will meet your requirements or expectations, nor do we guarantee that it will be error-free or uninterrupted. To the extent permitted by law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
CHANGES TO TERMS
We reserve the right to modify these terms and conditions at any time, without notice. Your continued use of the Add-in after any such changes will constitute your acceptance of the revised terms.
LIMITATION OF LIABILITY
In no event shall Minty Analyst EOOD be liable for any direct, indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract or tort, arising from your access to, or use of, the Add-in. This includes but is not limited to the loss of data due to the use of macros that remove undo functionality in Excel.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Minty Analyst EOOD, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Add-in.
SUPPORT
Minty Analyst EOOD provides email-based technical support for checking and resolving bugs. Support can be accessed through the Add-in website, Gumroad (where the Add-in is sold), and via the contact option within the Add-in itself. We do not guarantee any regular cadence of updates or new features.
NON-WAIVER
In the event that any portion of this Agreement is found to be unenforceable, the remainder of the Agreement shall remain in full force and effect. The failure of either party to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by both parties in writing. Furthermore, no waiver of any breach or default of this Agreement shall be deemed a waiver of any subsequent breach or default, and such waiver shall not affect the enforceability of any other provision or clause of this Agreement.
By using the Add-in, you acknowledge that you have read and understand these terms and conditions and agree to be bound by them.
